Former CVS Caremark Executive William Spalding Rejoins King & Spalding


ATLANTA, GA--(Marketwire - October 26, 2010) -  King & Spalding announced today that William R. Spalding, a former executive vice president of CVS Caremark, has rejoined the firm as a partner in the corporate practice. He will focus primarily on developing new clients and expanding existing business in the healthcare services, branded pharmaceuticals and healthcare information technology sectors, and providing advice in governance, internal investigations and disclosure matters to corporate boards of directors and audit committees. Spalding also will be active in King & Spalding's industry initiatives on healthcare and the life sciences (pharmaceuticals, biotechnology and medical devices).

Spalding is returning to King & Spalding after serving as executive vice president, strategic initiatives at Caremark, Rx, Inc., and executive vice president, strategy and managed care at CVS Caremark Corporation. At Caremark, he led the CVS Caremark merger team in 2007, which included defending against a hostile proxy fight and tender offer by a competitor. Following the merger, Spalding was a member of the CVS Caremark executive management committee and had responsibility for corporate strategy, mergers and acquisitions, the pharmaceutical services and Medicare Part D businesses of the combined companies, as well as the CVS managed care operations. In April 2008, he co-founded The CrawfordSpalding Group, a professional advisory and management services firm based in Nashville, Tenn.

Spalding is chairman of the board of directors of MedVantx, Inc., and a board member of PharMEDium Healthcare Corporation and SecureWorks, Inc. 

At King & Spalding, Spalding previously represented clients in merger and acquisition transactions in the healthcare, financial services and healthcare information technology sectors, and represented corporate boards of directors and audit committees in governance, Securities and Exchange Commission compliance and reporting matters. He also led a number of high profile independent investigations on behalf of the audit committees of large public companies. Spalding served as a practice group leader and was a member of King & Spalding's governing body, its policy committee. He is a graduate of Dartmouth College and received a J.D. degree, summa cum laude, from Washington & Lee University School of Law.
