TORONTO, ONTARIO--(Marketwire - March 18, 2013) - Solutions4CO2 Inc. ("S4CO2" or the "Company") (TSX VENTURE:SFC) is pleased to announced today that it intends to proceed with a non-brokered private placement offering of up to 6,666,667 units ("Units") at a subscription price of C$0.15 per Unit for gross proceeds of up to C$1,000,000 (the "Private Placement"). Each Unit will consist of one common share ("Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to purchase one Common Share at a price of C$0.20, for a period of 36 months from the date of closing. The securities to be issued will be subject to a statutory four month-plus-one-day hold period from the date of closing.
The Private Placement will be conducted in reliance upon certain prospectus and registration exemptions. The net proceeds from the Private Placement will be used to enhance the Company's cash on hand and strengthen its working capital position. S4CO2 currently has 35,984,677 Common Shares outstanding.
In connection with the Private Placement, finder's fees of up to 8% may be payable in cash. The Private Placement and finder's fees are subject to applicable regulatory approvals, including the acceptance of the TSX Venture Exchange.
