NTT Completes Acquisition of Solutionary

Leading MSSP Becomes Wholly Owned Subsidiary, Will Remain Independent IT Security Provider Committed to Its Customer-Focused Culture and Award-Winning Service

TOKYO and OMAHA, NE--(Marketwired - Aug 14, 2013) - Nippon Telegraph and Telephone (NTT), the world's largest global IT and telecommunications services company, and Solutionary, the leading pure-play Managed Security Services Provider (MSSP), today announced that NTT's acquisition of the privately held company has been completed.

This acquisition will benefit existing and new Solutionary clients by enhancing the company's worldwide security intelligence capabilities, expanding its R&D budget and supporting its global growth goals. There will be no leadership changes, and the organization will continue to operate with a customer-focused culture that is dedicated to providing existing and new clients with award-winning service and attention.

"Solutionary is well aware that acquisition can be disconcerting for customers at times and has committed to soothing any possible concerns by over-delivering on SLAs during the transition and beyond," said Christina Richmond, analyst and program director, security services, IDC. "In addition, Solutionary's position as a wholly owned but independently operated company -- with its management remaining in place -- will likely help placate concerned customers, partners and service providers."

NTT, a $130 billion company operating with 227,150 employees across 69 countries, is adding Solutionary to its global company roster in order to support its strategic focus on cloud services. With this acquisition, NTT will provide its clients with additional advanced IT security solutions and Solutionary will strengthen its security services to existing and new clients by leveraging NTT's global presence.

"In the rapidly evolving business environment in which we operate, we need to continuously enhance our competitiveness to win our customers' trust. The NTT Group has won the confidence of its customers through the creation of differentiated services based on superior technology. The provisioning of such services in a flexible manner, combined with our other offerings in the market, enables our clients to transform their business models. This acquisition will further strengthen the NTT Group in becoming a trusted leader in the global ICT and security industry," commented President and CEO of NTT, Mr. Hiroo Unoura. "In addition, it has become increasingly important to protect corporate ICT resources from the threat of malicious attacks, as well as to fulfill internal security policies and external compliance requirements. NTT is proud to be the leader in protecting our important clients."

"Modern enterprises, reliant on global IT environments to conduct business, are under constant attack from everything from heavily financed state-backed attackers to hacktivists and lone-wolf hackers. The only way to remain protected against the onslaught of threats is to have security strategies and solutions in place that can keep ahead of the criminal side of the Internet," said Steve Idelman, CEO of Solutionary. "This acquisition allows us to take advantage of NTT's global presence and deep resources to maximize the power of our technology and people. This partnership enables the combined organizations to deliver cutting-edge IT security services, solutions and analytics to a larger number of global customers, as well as to accelerate security research that protects them. Now that the transaction has been completed, we are very excited to be moving forward with our new parent."
