Service Point Solutions, S.A. : Service Point acquires CFI, a leading global supplier of print services to the financial research market

BARCELONA, SPAIN--(Marketwire - July 31, 2008) - - Service Point has acquired 100% of the shares of Chris Fowler International Limited ('CFI') including CFI London, Hong Kong and New York.

- CFI is one of the leading global suppliers of print services to the financial research market and a clear market leader in Europe.

- The acquisition allows Service Point access to an established and strong client base in the financial services sector, including many blue chip investment banking clients.

- The enterprise value paid is approximately EUR 12M, which implies a deal multiple of around 4 times EBITDA 2007/2008.

Barcelona, 31 July 2008 - Today Service Point Solutions S.A. (ticker: SPS.MC), through its subsidiary Service Point UK Limited, has signed and completed the acquisition of 100% of the shares of Chris Fowler International Limited including its subsidiaries Chris Fowler International (Asia) Limited and Chris Fowler International (New York) Incorporated ('CFI' or the 'Company').

CFI was founded in 1897 in London as a specialist printer located close to London's financial district. Today, CFI prints and distributes highly confidential, market sensitive research to fund managers on a worldwide basis. CFI specialises in high quality, fast turnaround overnight financial research printing services and is focussed on the UK, European, US and Asian markets. The company has also expanded its client base into other sectors including commercial, education and public sector.

With sales of approximately EUR 15M, the Company is one of the leading global suppliers of print services to the financial research market and a clear market leader in Europe. The Company operates three sites in London, Hong Kong and New York. In addition, CFI has working relationships with printing affiliates in other major financial centres such as Sydney, Johannesburg and in Scandinavia.

CFI currently employs approximately 100 people, with London being the largest location with over 70 employees. CFI has around 120 customers globally including many blue chip investment banking clients.

The key business strategy supporting the acquisition is:

- Acquiring one of the leading providers of printing services to the global financial market with a leading market position in Europe.

- Gaining entry into the financial printing market, expanding SPS' product portfolio to research printing and capitalising on CFI's expertise.

- Increasing printing capacity and broadening service offering to high quality overnight printing.

- Gaining access to an established and strong client base including blue chip investment banking clients.

- Opportunities to expand activities in New York and Hong Kong and potentially in other important financial centres.

- SPS will strengthen its U.K. organisation with CFI's strong management team and experienced workforce.

- Acquiring a highly cash generative and recurrent business, gaining from substantial synergies with the Service Point group and in particular with Service Point U.K.

The enterprise value paid is EUR 12M with part of the purchase price as a deferred payment; this implies a deal multiple of around 4 times EBITDA 2007/2008.

CFI represents the fourth acquisition to have been completed this year by Service Point. Earlier this year Service Point completed the acquisition of UCAD N.V. (Belgium), the acquisition of a 51% stake in Reprotechnique S.A. (France) and the acquisition of KSB Groep B.V. (The Netherlands).
