MONTREAL, QUEBEC--(Marketwire - May 19, 2010) - MethylGene Inc. (TSX:MYG) today announced the completion of the previously announced transaction which will provide up to $9.1 million in new, non-dilutive capital to the Company of which $7.2 million was received at closing (the "Arrangement"). The Superior Court of Quebec has approved the Arrangement which was described in detail in the management information circular of MethylGene dated April 14, 2010 and shareholder approval for the Arrangement was obtained on May 14, 2010.
As part of the transaction, MethylGene will carry on its business as it existed immediately prior to the Arrangement in a new-federally incorporated entity under the same name, with all of its common shares being held by the former shareholders of MethylGene, but with the additional cash received pursuant to the Arrangement. Pending final approval of the Toronto Stock Exchange (the "TSX"), the common shares of the new entity will be listed on the Toronto Stock Exchange under the same stock symbol "MYG" and will begin trading on or about May 21, 2010. Until such time, the common shares of the old MethylGene will continue to be listed on the TSX under the symbol "MYG" and any trades made during such time will settle as common shares of the new MethylGene.
