AutoTradeCenter Canada Ltd. Announces Exclusive License Agreement with cDemo Inc.

Announces Exclusive License Agreement with cDemo Inc. LETHBRIDGE, ALBERTA--(CCNMatthews - Mar 29, 2004) - AutoTradeCenter Canada Ltd. (the "Company", "ATC Canada") (TSXV-ATO) announces that they have signed an agreement with cDemo Inc., whose "Inspection Intelligence" platform provides a simple yet powerful set of tools to effectively collect, organize and share vehicle inspection information so that buyers and sellers are able to communicate more effectively on-line. cDemo Inc. is a private Delaware company whose President, Allan Chell, is also the CEO and President of AutoTradeCenter Canada Ltd; he also sits on the board of directors of both companies. In addition, both Allan Chell and Bernie Knaus, another director of the Company, are directly and indirectly, significant shareholders of cDemo Inc. This transaction was unanimously approved by the Board of Directors of the Company, with Allan Chell declaring his interest in writing. The agreement provides the Company with an exclusive license to use cDemo's Inspection Intelligence for the Canadian and United States wholesale automobile industry for a term of five years, with options to renew. The fair value for this exclusive license was determined by the Board of Directors of the Company to be $200,000, taking numerous factors into consideration such as the marketing to be provided by the Company, the revenue sharing provisions and data usage charges over the term of the agreement. The purchase price will be paid through the reduction of the outstanding debt due from cDemo Inc. to the Company. The Inspection Intelligence technology enables the Company to standardize the vehicle assessment data collection process. This approach ensures that the information collected is consistent, accurate, rich and complete-enabling field inspectors to electronically collect and process inspection data and images simultaneously. At the "touch of a button" -versus the industry norm of seven to fifteen processing days-the information is made available to the ATC Canada On-Line Auction Platform and remarketing clients via a web services management console. The console allows the user to audit and/or edit the information, if necessary, and to electronically distribute the information to multiple remarketing channels. The technology is designed to provide remarketers (manufacturers, fleet, lease and rental companies, as well as franchise automobile dealers that require self-inspect functionality) with 'actionable information', enabling them to remarket vehicles electronically while maximizing the value of their on-line inventory.
