Working Opportunity Fund Proposes Streamlining of Venture Series Offering-GrowthWorks Capital Ltd.


VANCOUVER, BRITISH COLUMBIA--(Marketwire - May 9, 2012) - Working Opportunity Fund (EVCC) Ltd. (the "Fund") announced today that its Board has approved seeking shareholder approval for the consolidation of the Financial Services Shares (series 2) (the "Financial Services Shares") and the Growth Shares (series 2) (the "Growth Shares") into the Balanced Shares (series 2) and the Growth Shares (series 1) into Balanced Shares (series 1) The proposal is aimed at achieving a more streamlined offering for the Fund and a more efficient process for compiling and reporting financial results and pricing in the current regulatory regime. In connection with the proposed consolidations, the Fund will no longer offer Financial Services Shares and Growth Shares for sale as of May 10, 2012.

The Fund's offering will now consist of Balanced Shares GIC Shares of the Venture Series and the Commercialization Series. In the Venture Series, Balanced Series is the most popular investment choice. The GIC Series directed funds investment strategies does provide investors with a significant minimum level of Directed Funds in the GIC non-venture portfolio reflected in a moderate risk ranking. The Fund's Commercialization Series, also a moderate risk ranking, provides investors with exposure to companies with research and/or development activities and has a dividend policy to pay dividends equal in total to approximately 25% of the purchase price during the three year after purchase.

At the Fund's annual general meeting expected to be held in December, 2012, shareholders will be asked to approve amendments to the Articles of the Fund to add an exchange feature to the rights and restrictions attached to the Financial Services Shares, the Growth Shares and the Growth Shares (series 1) to effect the consolidations at relative Pricing NAV per share of the series. Details of the proposed consolidations will be included in the meeting materials sent to shareholders. If shareholder approval is obtained, the consolidations are expected to occur on or before December 31, 2012.

In connection with the proposed consolidations, other Venture Series Shares may no longer switch into Financial Services Shares and Growth Share. Financial Services Shares and Growth Shares may continue to switch into other Series until a date designated and announced by the Fund which is expected to be shortly before the consolidations of these series.
