CommerceTel Acquires Txtstation, a Leading Provider of Interactive Mobile Marketing Solutions

Customers Include AT&T, NFL Network, LA Lakers, Golf Channel and Dallas Mavericks

SAN DIEGO, CA--(Marketwire - April 4, 2011) - CommerceTel Corporation (OTCBB: MFON), an award-winning provider of proprietary mobile marketing technologies and solutions, announced today that it has completed the acquisition of Txtstation (http://www.txtstation.com/).

Since 2004, Txtstation has been at the forefront of mobile interactivity -- creating integrated campaigns that combine the passion of live broadcasts and events with the ubiquity of mobile messaging. Txtstation allows broadcasters, event owners, sponsors and general media to interact with viewers or fans directly through their mobile phones. Txtstation combines its extensive mobile and interactive formats with its portfolio of leading edge technologies to provide innovative and effective solutions.

Txtstation's list of clients include: KCAL/CBS Los Angeles, the NFL Network, AT&T, Univision, The Golf Channel, UFC, Miami Dolphins, Atlanta Falcons, Philadelphia Eagles, Utah Jazz, Raycom Sports, Kroenke Sports, Motor City Casino and Southwest Airlines. Txtstation maintains principle offices in Austin, Los Angeles, Denver, Chicago and Auckland, New Zealand.

The integration of Txtstation's industry leading digital display technology with CommerceTel's award-winning C4 platform creates fully integrated SMS, MMS, and IVR driven digital display solutions that CommerceTel believes are unmatched in the marketplace. It produces a web-based platform that can output HD-quality graphics and animations to screens in the form of broadcast, stadium boards, or digital signage. Viewers are able to text or picture message to a short code or to call a phone number and within seconds the real time results appear live on the screen.

The dynamic display of responses has shown to improve not only the overall response rate, but also to engage consumers in fun and interactive ways. For example, Txtstation provides the Golf Channel with a complete solution for mobile integration on-air and online through its ability to tie into the network's graphic system creating a turnkey solution allowing for real-time votes to be aggregated on screen while building a variety of different text clubs for automated scoring alerts and other content. Fans are able to interact with Golf Channel on-air through various mobile tactics, including polls, voting and text-to-wins. They can also join text clubs via text messaging or online through a brief entry form.

Commenting on the announcement, CommerceTel's CEO, Dennis Becker, stated, "Txtstation has done a fantastic job pioneering real-time interactive mobile solutions via digital display. Its top tier client list is a testament to its innovative technology and outstanding team. The acquisition will not only immediately expand our customer and revenue bases, but will provide an opportunity to accelerate our growth by cross-selling and up-selling our respective customers with what we believe is the most robust interactive mobile marketing solution available today."

"It is with great enthusiasm that we combine our business with CommerceTel," added Fraser Heaven, Chairman of Txtstation. "It is a natural progression of our longstanding relationship. The synergies of this business combination are undeniable and we are very excited to play a major role in CommerceTel's ambitious growth plans."

The terms of the transaction are more fully described by CommerceTel in a report on Form 8-K previously filed with the United States Securities and Exchange Commission.
